Fees and Payment

Client Responsibilities

Failure to provide the required information or cooperation may result in delays, additional costs, or termination of the service agreement.
Intellectual Property
The content on our website, including text, graphics, logos, images, and software, is the property of AuditBright and is protected by copyright and other intellectual property laws.
The methodologies, tools, and templates used in our audit services are the intellectual property of AuditBright. While clients receive the deliverables outlined in their service agreement, the underlying intellectual property remains with AuditBright.
Confidentiality
We treat all client information as confidential. We will not disclose any confidential information to third parties without your explicit consent, except as required by law or as necessary to provide our services.

Limitation of Liability
To the maximum extent permitted by applicable law, AuditBright shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
Our liability is limited to the fees paid for the specific services that gave rise to the claim.
Termination
We may terminate or suspend access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Clients may terminate services according to the terms outlined in their service agreement.
Governing Law
These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page.
Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
